1. THE LOGICSUITE ECOSYSTEM

LogicSuite and TrackNotion are proprietary brands and “Doing Business As” (DBA) entities owned and operated by FM Software, LLC (“the Company”).

  • Integration Hub: As shown in our architecture, LogicSuite allows for the ingestion of data from various modules (Meetings, Bookings, Invoicing) and third-party integrations (Google, Microsoft, Zoom, TrackNotion).

  • Intelligence Modules: You may configure the Service to ingest this data into “Support Intelligence” and “Client Intelligence” modules to build a centralized knowledge base and train AI Chat Agents.

2. AI ARCHITECTURE & DATA PROCESSING

Our Service utilizes proprietary interfaces connected to third-party Large Language Models (LLMs).

  • Compliance Tunnels: We utilize SOC2 and HIPAA-compliant API connections for data transmission. We do not allow third-party LLM providers to use Your proprietary Input to train their global models.

  • Probabilistic Output: Given the nature of AI, Output may occasionally be inaccurate or “hallucinate.” You are solely responsible for verifying the accuracy of any AI-generated response before it is delivered to an end-customer.

  • Voice-to-Text (VTT): Our VTT features are provided for convenience and are not guaranteed to be 100% accurate. We disclaim all liability for transcription errors.

3. RECORDING, TRANSCRIPTION, AND COMPLIANCE

As visualized in the Support Intelligence flow, the Service allows for the recording and analysis of customer interactions.

  • Consent Requirements: You represent and warrant that You have obtained all necessary consents required by local, state, or federal law (e.g., “Two-Party Consent” states) before recording or transcribing any call or meeting.

  • Indemnification: You agree to defend and indemnify FM Software, LLC against any claims arising from Your failure to obtain proper consent for data ingestion, recording, or transcription.

4. DATA CATEGORIES: USER VS. END-CUSTOMER

  • User Data: Refers to Your staff and account holders.

  • End-Customer Data: Refers to Your clients interacting with your bookings or Chat Agents.

  • Client Intelligence Wiki: You grant Us the right to host and process this data as configured by You to provide the “Source of Truth” for Your organization. We will not retain this data beyond 6 months post-account termination.

5. PROHIBITED USES & RESTRICTIONS

In addition to standard illegal activities, You may not:

  • Use LogicSuite to develop a competing model or service.

  • Use automated “scraping” or “harvesting” to extract data from the Intelligence modules.

  • Input “Classified” or “National Security” sensitive information into the AI modules.

6. PAYMENT, BILLING, AND CANCELLATION

  • Fees: Prices are subject to change with 14 days’ notice.

  • Final Sale: All subscriptions are non-refundable. We reserve the right to modify the scope or impose usage restrictions on AI tokens/modules to ensure service stability for all users.

7. LIMITATION OF LIABILITY & ARBITRATION

  • Liability Cap: Our total liability is limited to the amount paid by You in the last six (6) months.

  • Mandatory Arbitration: All disputes will be resolved via binding arbitration through the ICC in Austin, Texas. You waive your right to a jury trial or class action lawsuit.
